satyam lesson - 2

The second lesson that we see is that the DCA and the government has had no difficulty in appointing the entire board. so why not just extend it and make it a process - ALL INDEPENDENT DIRECTORS TO BE APPOINTED BY THE SEBI or DCA or both as the case may be.

The other way to go about doing this is to ensure that at least every 3 years a new set of independent directors get appointed into every listed company and once a person has occupied the position of an independent director he does not get reappointed on the board again for at least 6 years thereafter. This should be made applicable to auditors as well.
